All arbitration or legal actions will occur on an individual basis; collective arbitrations and class actions are not allowed.

15.3

Limitation on Time to File Claim & Equitable Relief. Any legal claim or action you may have concerning the Website, Timeshare Rental Reviews Channels, or arising from these Terms must be initiated within one (1) year after the claim or cause of action arises. If not, the claim or cause of action will be deemed waived and permanently barred. Your remedies for any claim related to the Website, Timeshare Rental Reviews Channels, or these Terms will be limited to monetary damages, and you agree not to seek injunctive or equitable relief.

15.4

Governing Law. These Terms are created in and will be interpreted and enforced in accordance with the laws of the State of Arizona, without consideration for its conflict of law principles. Nevertheless, any determination regarding whether a Dispute falls under the Mandatory Arbitration Provision (below) will be determined by applying the provisions of the Federal Arbitration Act, Title 9 of the U.S. Code ("FAA").

15.5

Venue. For any Action permitted to proceed in court or to enforce the terms of this Agreement, the Parties consent to exclusive personal jurisdiction and venue in the state courts of the State of Arizona.

15.6

Initial Dispute Resolution. The parties commit to making their best efforts to resolve any Dispute through direct consultation and good faith negotiations using the following process, known as the "Informal Dispute Resolution Process." This process must be followed before either party initiates a lawsuit or arbitration.

15.6.1

In case you have a Dispute with us, you are required to submit a personalized written notice detailing the Dispute to us via email at customersupport@timesharerentalreviews.com. Conversely, if we have a Dispute with you, we will send a written notice to the contact information we have on record for you.

 

15.6.2

Upon receiving such notice, we will promptly schedule a meeting, either through telephone or videoconference, with the intent of engaging in a good-faith dialogue to collaboratively and informally resolve the Dispute.

15.6.3

You agree to taking part in the conference personally. In the event that you have legal representation, your legal counsel may also join the conference, but it is essential that you actively engage in the conference yourself. Similarly, if we are represented by legal counsel, our legal representatives may participate, but we will ensure that a company representative actively participates in the conference.

15.6.4

The statute of limitations and any deadlines for filing fees will be paused during the Informal Dispute Resolution Process as mandated by this paragraph.

15.6.5

If the Dispute remains unresolved for 60 days after the opposing party has received the notice, either party may then proceed to initiate either a small claims court action with jurisdiction over the Dispute or an arbitration, as outlined below.

15.7

Mandatory Arbitration. If the Informal Dispute Resolution Process does not lead to a mutually agreed-upon solution, both you and Timeshare Rental Reviews consent to resolving any Dispute through individual arbitration. This arbitration process will be conducted by an arbitrator chosen jointly by both Parties (referred to as the "Arbitrator"). The Arbitrator must possess relevant experience and expertise in the subject matter of the Dispute and have a background as a former federal or state court judge.

 

15.7.1

Filing for arbitration without first attempting the Informal Dispute Resolution Process can lead to the dismissal of the claim, and the party initiating the arbitration is obligated to cover the reasonable costs and fees incurred by the other party.

15.7.2

The parties will engage in a sincere and collaborative process to choose an arbitrator. To fulfill this requirement, each party must suggest a minimum of three arbitrators who meet the qualifications outlined in these Terms.

15.7.3

If, following 60 days of sincere meet-and-confer attempts, the parties cannot reach an agreement on an arbitrator, either party may request the State courts of Arizona to designate an arbitrator. This process involves the court presenting the parties with a panel of five potential arbitrators who meet the qualifications outlined in these Terms. Each party then removes one arbitrator from the panel, and the court appoints the arbitrator from the remaining candidates based on their qualifications, expertise, and the stipulations of this Agreement. To meet the good-faith meet-and-confer requirements in this section, both parties must propose at least three arbitrators who satisfy the qualifications outlined in these Terms.

15.7.4

The arbitration will be conducted in accordance with JAMS' Streamlined Arbitration Rules and Procedures or other mutually agreed-upon rules that are comparable. The choice of JAMS rules does not imply that JAMS will handle the arbitration or designate the arbitrator.

15.7.5

The arbitration will be carried out through electronic, telephonic means, or document submission, rather than requiring in-person appearances by the parties. However, the arbitrator may exercise discretion to demand a face-to-face meeting if it deems such a meeting essential for a fair hearing. In case the party initiating arbitration does not attend the administrative conference, regardless of whether their legal counsel is present, the arbitrator will administratively close the arbitration process without prejudice, unless the party can demonstrate valid reasons for their absence.

15.8

Small Claims Court Claims. In addition to the parties' commitment to resolving disputes through arbitration, either party may pursue remedies in a small claims court for disputes or claims within the court's jurisdiction. Any appeals of decisions made in a small claims court will still be subject to the provisions of these arbitration terms.

 

15.9

Dispute Resolution Only If A Tribunal Has Ruled That Arbitration Is Prohibited. If a court with the necessary jurisdiction prohibits the arbitration of a dispute as outlined in Section 15, then the state or federal courts in Arizona will have sole jurisdiction over the dispute. To the fullest extent allowed by the mandatory laws in your country of residence, these Terms, and any dispute arising from or related to these Terms, their subject matter, or their formation (including non-contractual disputes), will be governed by and interpreted in accordance with the laws of the State of Arizona and the United States, without regard to any conflict of law principles.

 

15.10

Intellectual Property Claims. In addition to the arbitration provisions stated here, if you have violated or threatened to violate our intellectual property rights in any way, we may seek injunctive or other suitable relief in the state courts of the State of Arizona. You agree to submit to the exclusive personal jurisdiction and venue of these courts in such cases.

 

15.11

No Opt Out Rights. You cannot opt out of the Dispute Resolution section. If you do not agree to these Terms of Use, including the Dispute Resolution section, your only recourse is to cease using the Website and Timeshare Rental Reviews Channels.

 

15.12

Timeshare Rental Reviews Right to Terminate Mandatory Dispute Resolution Provision. Timeshare Rental Reviews reserves the right to terminate its agreement with Section 15 at any time. Such termination will not impact any Action that has already been initiated.

 

15.13

Arbitration Agreement Survival. This arbitration agreement will remain in effect even after your relationship with Timeshare Rental Reviews has ended.

 

16. General

16.1

These Terms are considered to encompass all additional notices, policies, disclaimers, and terms found on the Website and Timeshare Rental Reviews Channels. However, if there is a conflict between these additional terms and the terms of these Terms, these Terms will prevail, unless expressly stated otherwise. It's important to note that nothing in these Terms supersedes Timeshare Rental Reviews' Privacy Statement.

 

16.2

If any provision of these Terms is found to be unlawful or unenforceable, it will not affect the validity and enforceability of the remaining provisions. The failure of Timeshare Rental Reviews to enforce any provision of this Agreement or related right does not constitute a waiver of that right or provision. The conduct between the parties and trade practices will not modify any provision of these Terms. The section titles in this Agreement are for convenience only and do not carry legal or contractual significance. In the event of the termination of these Terms for any reason, certain provisions will survive, including those related to limitations on your use of Content, the licenses granted to Timeshare Rental Reviews, and other provisions for which survival is appropriate. Timeshare Rental Reviews may assign its rights and duties under these Terms to any party at any time without notice to you.
